Yodel Terms of Purchase

Yodel LLC (“we,” “our,” or “us”) is a limited-liability company registered in the United States of America (“USA”) with headquarters in the state of Indiana. Our primary website address (https://yodel.co) provides general information about our company and services. The website and any related applications or offerings will herein be referred to as “Our Services.” Our company can be reached for legal inquiry by using the contact form on our legal page (https://yodel.co/legal/).

As a visitor or user (“you,” “your,” or “user”) of Our Services, you are bound by our publicly posted policies.

I. YOUR REQUIREMENTS

By placing an order through Our Services, you warrant that:

II. PRICING

Yodel maintains a public pricing list on our website (https://yodel.co/pricing/) which shows the current prices based on costs established per-recipient and postcard sizes. Yodel reserves the right to change our pricing at any time without notice. The final price will be shown to a sender for approval, at which point the price will not change, unless otherwise deemed to be a pricing or payment issue as described later in this document.

Taxes are applicable with purchases through Yodel services. Yodel will apply taxes either before or after postage is applied, per local tax requirements.

III. PURCHASE ACCEPTANCE

Yodel's process will allow a sender to create drafts of messages at no cost. Once the message has been scheduled it goes to Yodel for review against our policies, and we withhold the right to reject any message that violates our terms. Upon approval, the message will be held until its selected target date approaches. Given current lead times for printing and mailing, Yodel will send notice to the sender when it is time to review a final cost. The sender must approve this cost before any further action is taken. Once approved by the sender and assuming the target date is still reasonable, Yodel will process the payment method. When the payment is successfully processed in full, Yodel will proceed with sending the message for printing and delivery.

IV. PAYMENT

Yodel uses a third-party payment service to process payments. As described previously, you must approve the final cost before this is sent to the payment gateway. Payment will be taken in full immediately at that time, and if successful, Yodel will proceed with printing and delivery, assuming the target date is still reasonable. Once processed, your payment account will see a charge from "WPY*YODEL" on your statement.

V. PRICING & PAYMENT ERRORS

Yodel takes precautions to prevent errors when displaying costs for your approval, however no system is immune to occasional errors or bugs.

Yodel withholds the right to cancel an order with an unintended error in pricing, even if you have reviewed and approved the incorrect price. Yodel cannot be held to honor an error in pricing if it is caught before printing occurs. If the error is missed and your approved message is printed, then Yodel will honor the errant price.

If an error occurs in processing your payment, either too much or too little is charged, either party has the right to address the issue and have the error corrected.

VI. DELIVERY & TIMING

Our Services will attempt to ensure that users can only select viable target dates for their messages. This factors in expected lead times for printing on business days and avoiding common U.S. mailing holidays. In some cases, the steps of purchase acceptance can take longer than expected which may put the target date in jeopardy. When this happens, Our Services will attempt to warn the user before further processing takes place. In rare cases this may not always be possible, potentially causing a delay in delivery.

The nature of our delivery system makes delivery dates uncertain. We will do everything in our power to try and meet the target date, but it is extremely possible that some or all of the physically mailed items may arrive early or late, and it is unlikely that all pieces will arrive at their destinations on the same day.

Some Yodel users may opt to receive messages via email or SMS text instead. These delivery types are set up to be mailed on the target date and are more reliable than the physical mailings.

Yodel makes no claims around the exact delivery dates and times. We use the selected target date as a guide and attempt to get all messages delivered close to that date. There is always a possibility of slight delays at the printing company or the postal mailing service running faster or slower than normal. You may choose to adjust your target date forward or backward if you are attempting to deliver "no earlier than" or "no later than", but Yodel is unable to guarantee such accuracy.

VII. REFUNDS & CANCELLATIONS

The process of purchase acceptance described earlier is considered a binding acceptance.

There may be a brief period between acceptance of the cost and the message being printed. If a cancellation is requested during that period it may be possible to stop it with no charge. However, once the message has been printed and is ready for delivery, we are unable to offer a refund.

There may be another brief period between printing and mailing. If a cancellation is requested during that period, it may still be possible to stop the mailing, allowing the send to be canceled, but the printing will have been completed so we would still be unable to offer a refund.

If there is a quality issue once the message has been delivered, please reach out to Yodel's help and support team via the online contact form (https://yodel.co/help/). This type of issue will be addressed on a case-by-case basis where a refund may be possible if the printing quality or content display is unacceptable.

If you have an issue with damage to the pieces during mailing, please be prepared to show proof of multiple mailing pieces that illustrate the problem. Yodel is unable to refund based on a single damaged piece within a batch. Some amount of damage is expected in postal mail delivery, and Yodel cannot be held responsible for common issues beyond our control.

VIII. EVENTS OUTSIDE OUR CONTROL

Yodel cannot be liable or responsible for failure to perform, or delays of any of our obligations under our terms and conditions or other policies that are caused by events outside our reasonable control ("Force Majeure Event").

A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular and without limitation the following:

Our performance under these terms is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations under these terms may be performed despite the Force Majeure Event.

IX. PRIVACY

Although Yodel will take all steps to keep your personal and business information confidential within Our Services, sent message content should be considered public. Messages may be sent out on postcards via postal mail. Yodel cannot control who may see the message during or after delivery. Other delivery methods include web, email, and SMS text, where general expectation of privacy is limited.

X. WRITTEN COMMUNICATION

In accordance with applicable laws, some of the information or communication we send to you must be in writing. By using Our Services, you agree to communicate with us mainly through electronic means, such as email or notices posted through Our Services. For the purposes of entering into a contract, you accept electronic communication as valid and acknowledge that all contracts, notices, information, and other communication we provide to you electronically meet the legal requirement for written communication. Please note that this does not affect your statutory rights.

XI. ACCOUNT ACCESS TERMINATION

We reserve the right to terminate or suspend your account or access to Our Services at any time, for any reason, without notice.

XII. CHANGES TO THESE TERMS

These terms of purchase may be updated from time to time, and it is your responsibility to review them regularly. The last updated date is printed at the end of this document.

XIII. ACCEPTANCE OF TERMS OF PURCHASE

By placing an order with us, you acknowledge that you have read and agree to these terms of purchase, you consent, and you are bound by these terms. If you do not agree to these terms, you may not use Our Services. Your continued use of Our Services and your approval of a message send cost indicates your acceptance of these terms and the latest updates thereof.
